Registrar Reseller Program Agreement v1.27a

                                   (Updated 1 january, 2006)

 

 This is an Agreement between you (the “Reseller”) and Offshore Coronet LLC, a Delaware corporation with a place of business at 3422 Old Capitol Trail, Wilmington, DE 19808, (“Power4Domain.Com”). This agreement explains the basis upon which transactions between you, the Reseller, and Offshore Coronet LLC. will take place and our responsibilities toward each other.

                                                                                                                                                                       

            I.  Offshore Coronet LLC is an officially accredited Registrar Service Provider of Key-Systems GmbH, an ICANN (Internet Corporation for Assigned Names and Numbers) accredited registrar; The Reseller is a seller of Second Level and Third Level Domains (SLD) & (TLD). Offshore Coronet LLC registers the customers Second Level and Third Level Domains, according to the Top Level Domain Appendix of the Agreement v1.27a, in the name of the Reseller.

 

 The customer is still fully liable even when ordering through the Reseller. The Reseller is obliged to inform the customer about any important agreements, general terms of business, incidents and notifications. The Reseller has the right to act in the name of the customer.

 

Reseller agrees that Offshore Coronet LLC may modify this Agreement in order to comply with applicable laws and the terms and conditions set forth by ICANN.

 

Reseller acknowledges that Offshore Coronet LLC’s acceptance of this Agreement and any application made by Reseller for services provided by Offshore Coronet LLC will take place at Offshore Coronet LLC's offices located in Wilmington , Delaware , USA.

 

II.  Whereas Offshore Coronet LLC is a fully-operational Internet Domain name registrar; and, whereas Reseller desires to purchase Domain Name registration services and other services or products that may be available (the “Services”) from Offshore Coronet LLC for purposes of selling such Services to its own customers using its own website, but connecting to Offshore Coronet LLC’s idna.net Application Programming Interface to procure such Services;

 

Therefore, the Registrar and Reseller agree as follows:

  1. Services. Subject to the terms and conditions of this Agreement, Offshore Coronet LLC grants the Reseller a non-exclusive, non-transferable license to resell domains worldwide. Your account is non-transferable and cannot be sold separately or in conjunction with the sale of an existing site or business The Services available for resale may not immediately include all of the Services that Offshore Coronet LLC offers for sale.
  2. Price. Subject to the terms and conditions of this Agreement, Reseller acknowledges that prices listed in the Top Level Domain Appendix of the Agreement v1.27 are subject to change.
  3. Refund Policy. Reseller and Reseller’s customers are not entitled to any refunds of Service transactions. All domains and services are non-refundable.
  4. All Domain Name registrations are “Auto-Renewed”, unless the Reseller deletes domain name listed within the reseller’s account BEFORE the domains expiration date OR the domain is modified to list “RENEWALMODE” of AUTOEXPIRE and/or AUTODELETE, the registry will auto-renew the listed domain name. As a result the reseller will be charged the AUTORENEW_DOMAIN_ANNUAL fee.
  5. Prepaid Account. A prepayment account will be set up for the Reseller ("Prepaid Account") in advance by Offshore Coronet LLC; sufficient funds should be deposited to cover the cost of the Services that will be purchased. The initial minimum non-refundable deposit is One Hundred Fifty US dollars ($150.00 USD). Failure to set up a valid Prepaid Account will prevent you from purchasing any Services from Offshore Coronet LLC. You can find the instructions on how to deposit funds to your Prepaid Account at any time by clicking on the “Deposit Payment” link from your online account or at https://www.idna.net/payment/.
      Payment should be made to “Offshore Coronet LLC” from a check drawn on a US bank in US funds, or via a major Credit Card. (VISA, MasterCard, American Express, Discover Card, or JCB), or via a verified PayPal Account, or via bank wire transfer in US funds (a $20.00 USD bank fee applies to each wire transfer under $5,000.00 USD - Please add this amount to any remittances submitted via this method. Otherwise all bank fees will be debited from the reseller account).

 

Resellers hereby authorize Offshore Coronet LLC to initiate and post debit (negative) entries to the Prepaid Account when requests for Services are received from the Reseller. If for any reason Offshore Coronet LLC is unable to withdraw funds from your Prepaid Account to process your requests for services, because there is not enough money in there, and you fail to respond to our notices, any requested transactions will not be processed. It is your responsibility to keep adequate funds in your Prepaid Account. You agree that Offshore Coronet LLC will not be held responsible for transactions that could not be processed because you failed to keep an adequate amount of money in your Prepaid Account to cover those transactions. In any case, if you fail to keep adequate funds in your Prepaid Account, additional charges may apply. It is your responsibility to cancel your Prepaid Account should you decide to discontinue your account for Services with us.


The authority granted to Offshore Coronet LLC by the Prepaid Account owner herein will remain in full force and effect until the Company has received written notification from the Prepaid Account owner that such authority has been revoked, but in any event, such writing shall be provided in such a manner as to afford the Company a reasonable opportunity to act on such revocation, or until the Company, has sent notice of the Company's, termination of this Agreement.

 

 

III. Offshore Coronet LLC will provide the Reseller with various different accesses to the Registration-System of Offshore Coronet LLC for the purpose of purchasing, administration and transfer of domains. These accesses include Real-Time-access, as well as Web Front-end and Email-Gateway. Offshore Coronet LLC will provide any necessary drafts and documentations for these purposes.

 

            IV. Fraudulent Transactions. Reseller agrees to hold Offshore Coronet LLC harmless and to indemnify Offshore Coronet LLC for and against transactions processed by Offshore Coronet LLC on behalf of Reseller that are fraudulent in nature. These fraudulent transactions could result from, but are not limited to, misrepresentations in the domain registration or transfer process, or from the use of stolen or misappropriated credit cards.

 

            V. Dispute Policy. Reseller and the customer are committed to accept the respective Dispute-Polices in case of any misunderstandings, disputes or arguments towards the use of domain-names. These policies are a component of this contract and the Reseller is obliged to inform his customer about this issue. The respective Dispute-Policy can be changed with an important cause at any time. Offshore Coronet LLC does not have any influence on these changes. The continuation of the registration can only take place under the condition that the changed Dispute-Policy has been accepted. If the Reseller or the customer should not accept the changed Dispute-Policy then the domain can be deleted at any time.

 

VI. Term.  Either party may terminate this Agreement at any time by written notice. You agree that Offshore Coronet LLC may modify this agreement from time to time. You agree to be bound by any changes Offshore Coronet LLC may reasonably make to this agreement when such changes become effective. Upon termination, all customers will default to Offshore Coronet LLC unless the Reseller transfers the domains to other registrar earliest after 60 days of the domain registration.

 

1. Termination - Either party may terminate this Agreement for a material breach of contract by the other party that has not been cured within 10 days. Either party must notify the other of such material breach in writing. Or, either party may terminate this Agreement with 30 days written notice. Upon termination, all customers will default to Offshore Coronet LLC unless the Reseller transfers the domains to other registrar earliest after 60 days of the domain registration.

 

2. Restriction of Service; Right of Refusal - Reseller agrees that Offshore Coronet LLC, in its sole discretion and without liability to Reseller, may terminate this Agreement for if Reseller is using or found to be using Offshore Coronet LLC Services in association with unsolicited commercial email (“spam”) or morally objectionable activities. Morally objectionable activities will include, but not be limited to: activities designed to defame, embarrass, harm, abuse, threaten, slander or harass third parties; activities prohibited by the laws of the United States and/or foreign territories in which Reseller conducts business; activities designed to encourage unlawful behavior by others, such as hate crimes, terrorism and child pornography; activities that are vulgar, obscene, invasive of the privacy of a third party, racially, ethnically, or otherwise objectionable; activities designed to impersonate the identity of a third party; and activities designed to harm minors in any way. In the event Offshore Coronet LLC terminates this Agreement for spam or morally objectionable activities, no refund will be issued.

 

3. Indemnification. Offshore Coronet LLC shall indemnify, defend and hold harmless the Reseller from and against any claims of the registry or customers, other than claims arising from the negligent actions or omissions of the Reseller itself. The Reseller shall indemnify, defend and hold harmless Offshore Coronet LLC from and against any claims by any third parties arising out of negligent or other wrongful actions or omissions of the Reseller under this agreement.

 

4. Limited Liability. Offshore Coronet LLC shall not be liable under any circumstances for any special, consequential, incidental or exemplary damages arising out of or in any way connected with this Agreement or the Domain Name Registration Services, or other services and products Reseller may choose, including but not limited to: damages for lost profits, loss of use, lost data, loss of privacy, damages to third parties. This limited liability clause shall apply even if Offshore Coronet LLC has been notified of the possibility of any claims.  In no event shall Offshore Coronet LLC’s maximum liability exceed the total amount paid by Reseller for the service or product. Offshore Coronet LLC’s liability is limited to the extent permitted by law in states that do not allow the exclusion or limitation of liability for consequential or incidental damages.
  You understand that Offshore Coronet LLC does not control all aspects of the domain registration process. For example, once you complete a domain application OR a transfer request, Offshore Coronet LLC forwards the information contained in the application to the appropriate Registry Administrator for processing and actual registration of the name. Offshore Coronet LLC disclaims, and you agree that Offshore Coronet LLC is not liable for any inaccuracies regarding the registration information relating to (i) the input of the information by you; and (ii) the input of the information by the Registry Administrators. Offshore Coronet LLC will not be held liable, nor refund a domain name registration due to spelling errors/typos.

 

5. Modification. This Agreement and its Attachments are subject to change.   Reseller will be notified of such changes as they occur via the email contact supplied during the reseller signup process.

6.  Assignment. Reseller may not assign its rights or duties under this Agreement to another without the express written consent of Offshore Coronet LLC, which will not be unreasonably withheld. Offshore Coronet LLC may assign its rights and obligations under this Agreement without notice so long as the Service continues to operate as outlined in this Agreement.

 

7. Severability. The terms of this Agreement are severable. If any part of this Agreement is determined to be unenforceable or invalid, that part of the Agreement will be interpreted in accordance with applicable law as closely as possible in line with the original intention of both parties of the Agreement. The remaining terms and conditions of the Agreement will remain in full force and effect.

8. Governing Law. This Agreement shall be deemed entered in to in the State of California. Except for disputes concerning the use of a domain name registered with Registrar, the laws and judicial decisions of San Francisco, California shall be used to determine the validity, construction, interpretation and legal effect of this Agreement. Any action relating to or arising out of this Agreement shall be brought in the courts of San Francisco County, California.

For the adjudication of disputes concerning the use of any domain name registered with Registrar, Reseller aggress to submit for jurisdiction and venue to the U.S. District Court for the district of California located in San Francisco, California. 

Reseller agrees to waive the right to trial by jury in any proceeding that takes place relating to or arising out of this Agreement.

 

9. Entirety. This Agreement constitutes the entire understanding and contract between the parties and supersedes any an all-prior and contemporaneous, oral, or written representations, communication, understandings, and agreements between the parties with respect to the subject matter herein.

 

 

Nothing in this Agreement, express or implied, shall be deemed to confer any rights or remedies upon, nor obligate any of the parities hereto, to any person or entity other than such parties, unless so stated to the contrary.

Each of the parties, to this Agreement represents and warrants that it has full power to enter into this Agreement and hasn’t assigned, encumbered, or in any manner transferred all or any portion of the claims covered by this Agreement.

 

            VII. Trademark Limited License. dotFMâ and dotAMâ are a registered trademark of Offshore Coronet LLC, during the life of this agreement, Offshore Coronet LLC grants the Reseller a nonexclusive, limited license to use dotFM and dotAM (as well as, dotAM and dotFM logos and/or trademarks) for the purpose of marketing and registering .FM and .AM domains only. The logos and trademarks may be displayed only in the form and subject to the restrictions set out in the dotFM® & dotAM® TRADEMARK USAGE POLICY, which may be accessed at http://www.dot.fm/trademark.html.


Appendix for Pre-Registered Domain Names.

Submitting a Pre-Registration request application does not guarantee a successful domain name registration. The successful registration of a queued domain name depends upon a number of different factors that cannot predict beforehand.

Limitation of Pre-Registration Liability:
Offshore Coronet LLC shall not be liable for the situation where a domain name you applied for is not registered for whatever reason, including but not limited to interface problems between and Registry Operator.

Offshore Coronet LLC assumes no liability for an order or a domain name's suspension, cancellation, deletion, interruption or transfer due to procedures, rules or policies laid down by ICANN or Registry or due to practices, customs or prejudices of court of laws or dispute resolving arbitrators. Under no circumstances shall be liable for any special, incidental or consequential damages, or for interrupted communications, lost data or lost profits incurred by you as a result of, or in connection with, a domain name registration.

You are the sole responsible party for the information submitted, and for complying with registry administrator's rules at any time.

You agree to indemnify from and against all liabilities, damages, losses, expenses, claims, demands suits, attorney fees, and costs and expenses incidental thereto, arising from claims brought against by you or any other 3rd party in connection with such events as described above.

When transferring a .DE domain the remaining registration term will neither be taken over nor any payments be reimbursed.

 

If the Reseller initiates a “KK-Antrag” (Transfer), then according to the DENIC Terms and Conditions he is committed to have a signed “KK-Antrag” either through the Admin-C or the Domain Owner in his possession. When initiating the .DE Domain transfer it is not mandatory to fax this document to Offshore Coronet LLC The Reseller is however obliged to provide Offshore Coronet LLC with this signed “KK-Antrag” within 48 hours after receipt of request through Offshore Coronet LLC. In the event that the Reseller does not provide Offshore Coronet LLC this “KK-Antrag” within the given time period, then Offshore Coronet LLC is permitted to charge the Reseller a contractual penalty fee of 500 Euro.
